I was thinking it should be pretty easy to upgrade an s1 to s2 by simply installing s2 software on it, hardware seems to be pretty much the same. Has anyone done this? Any input would be awesome

Don't think this is possible, because, first, the S1 uses Navteg software, while the S2 uses TeleAtlas. Also, the hardware looks the same, but, the S2 is different, has an MP3 player, and a headphone jack that the S1 does not have. Hope this helps.
